ppBothPartieswillcommittodevelopconstructandoperatethenbspsolar-thermalpowerstationnbspwiththenbspuseofthenbsptechnologyfromSolarReserveonthebasisofthejointventureinChinanbspThisConfidentialityandNon-DisclosureAgreementtheAgreementismadeandenteredintobetween[nbspnbsp]togetherwithitsparentsaffiliatesandsubsidiariesand[nbspnbsp]togetherwithitsparentsaffiliatesandsubsidiariesinconnectionwiththenbspabovementionedprojectnbsp[nbspnbsp]theTransactionnbspnbsp[nbspnbsp]and[nbspnbsp]areindividuallyreferredtohereinasaPartyandcollectivelyreferredtohereinasthePartiesnbspItisanticipatedthatinconnectionwiththeTransactionthePartieswilldiscloseorcausetobedisclosedtotheotherPartycertainconfidentialorproprietaryinformationandthePartiesareenteringintothisAgreementtoassurethestrictconfidentialityofsuchinformationAccordinglythePartiesherebyagreeasfollowspp双方将在中国通过建立合资控股公司致力于开发建造和运行使用SolarReserve公司技术的太阳能光热电站等相关合作事项nbspnbspnbspnbspnbspnbsp基于[nbspnbsp]前述项目简称为该交易双方[nbspnbsp]连同其母公司分公司和子公司和[nbspnbsp]连同其母公司分公司和子公司制定并签署了本保密和非披露协议简称为协议本协议中[nbspnbsp]和[nbspnbsp]被单独称为一方统称为双方据估计本交易中双方将向另一方披露或被要求披露其一定的机密或私有信息因此双方订立本协议以确保该类信息的机密性现双方规定如下poltype"1"linbspnbspnbspnbspnbspnbspnbspnbspnbspnbspnbspnbspInconnectionwiththeTransactionaPartycollectivelywithanyofitsdirectorsofficersemployeesprofessionaladvisorsoragentstheDisclosingPartymayfurnishtotheotherPartycollectivelywithanyofitsdirectorsofficersemployeesprofessionaladvisorsoragentstheRecipientConfidentialInformationdefinedbelownbspAllinformationpertainingtotheDisclosingPartyincludingwithoutlimitationtechnicalcommercialfinancialaccountinglegalandadministrativeinformationwhichhasbeenorwillbefurnishedtoRecipientinanyformatinwritingororallybytheDisclosingPartyorontheDisclosingPartysbehalfinconnectionwiththeTransactiontogetherwithallanalysescompilationsforecastsstudiesorotherdocumentspreparedbytheRecipientwhichcontainorreflectanyofsuchinformationshallbedeemedConfidentialInformationnbspliolp1与交易相关的一方统指其任何的董事职员雇员专业顾问或代理人即披露方提供给另一方统指其任何的董事职员雇员专业顾问或代理人即接受方机密信息定义见下文披露方或以披露方的名义发出的与交易相关的属于披露方的所有信息包括但不限于技术商业金融会计法律和行政信息已经或将提供给接受方的以任何的形式包括书面或口头的形式包括接受方准备的包含或反映任何此类信息的所有分析汇编预测研究或其他文件都应被视作机密信息polstart"2"type"1"linbspnbspnbspnbspnbspnbspnbspnbspnbspnbspnbspnbspThetermConfidentialInformationshallnotincludeinformationwhichaisnoworhereaftercomesintothepublicdomainotherthanasaresultofabreachofthisAgreementbyRecipientbisrightfullyandlawfullyinthepossessionofRecipientfreeofrestrictionsonuseanddisclosureasevidencedbywrittenrecordspriortothereceiptofanyinformationfromtheDisclosingPartyinconnectionwiththeTransactioncisdisclosedtoRecipientbyathirdpartyonanon-confidentialbasisandwithoutanyrestrictionsasevidencedbywrittenrecordsordisthesubjectofawrittenpermissiontodiscloseprovidedbytheDisclosingPartyliolp2术语机密信息不包括以下内容a现阶段或以后将进入公有领域的信息不应被视作接受方违反被协议b接受方无使用和披露限制属于接受方的合情合法的信息且在接受披露方提供的与本交易相关的任何信息之前已有书面形式证明c经书面形式证明的由第三方以非机密形式无任何限制地披露给接受方的信息或d有披露方书面披露许可的信息主题ppnbsppolstart"3"type"1"liRecipientshallmaintainallConfidentialInformationinstricttrustandconfidenceandshallnotdiscloseanyConfidentialInformationtoanythirdpersonexceptasmayberequiredbylaworregulationorlegalorjudicialprocessnbspRecipientmayuseConfidentialInformationonlytotheextentrequiredtoaccomplishthepurposesofthisAgreementandfornounauthorizedpurposenbspInparticularandwithoutprejudicetotheforegoingRecipientshallnotuseanyConfidentialInformationinfurtheranceorforthepurposesofitsbusinessorthebusinessofanyotherpersonnbspnbspliolp3接受方对所有机密信息严格保密不得向任何第三方披露任何机密信息在法律或法规要求或法律或司法程序中除外接受方应在完成本协议目的的范围内使用该类机密信息而不能用于未授权用途不影响前述内容的前提下特别强调的是接受方不应将机密信息用于其业务或任何一方的业务的提高polstart"4"type"1"liConfidentialInformationshallnotbereproducedinanyformexceptasrequiredtoaccomplishtheintentofthisAgreementnbspAllConfidentialInformationincludingallcopiesthereofshallremainthepropertyoftheDisclosingPartynbspThetermpersonasusedinthisAgreementshallbebroadlyinterpretedtoincludewithoutlimitationthemediaandanycorporationcompanygrouppartnershipindividualorotherentityliolp4不得以任何形式加工机密信息为完成本协议要求重新加工的除外所有机密信息包括所有副本应被视作披露方的财产本协议中使用的人一词可被广义解释为包括但不限于媒体和任何公司企业集团合伙人个人或其他实体polstart"5"type"1"liWithouttheDisclosingPartyspriorwrittenconsentexceptasrequiredbylaworregulationorbylegalorjudicialprocessasconfirmedinwritingbyRecipientsindependentlegalcounselRecipientwillnotdisclosetoanythirdpersonthefactthattheTransactionisoccurringorhasoccurredthatConfidentialInformationisbeingorhasbeenmadeavailableorthatdiscussionsornegotiationsareoccurringorhaveoccurredconcerningtheTransactionoranyofthetermsconditionsorotherfactswithrespecttoanytransactionscontemplatedbytheTransactionincludingthestatusthereoforthepartiestheretonbspliolp5无披露方的事先书面同意除非是法律或法规或法律或司法过程中要求的包括接受方独立法律律师的书面确认接受方不得向任何第三方披露关于本交易是正在进行还是已经进行机密信息现在可获得还是已经获得或讨论或者谈判是正在发生还是已经发生或与本交易预期的任何交易相关的任何条款条件或其他事实包括本协议提到的双方的身份polstart"6"type"1"liRecipientshalladviseeachofitsofficersdirectorsemployeesprofessionaladvisorsagentsandotherpersonswhohavebeenprovidedwithanyConfidentialInformationinaccordancewiththetermsofthisAgreementoftheconfidentialnaturethereofandRecipientagreesthatitshallberesponsibleforanybreachbysuchpersonoftheprovisionsofthisAgreementnbspRecipientshallindemnifytheDisclosingPartyondemandagainsteachdirectandindirectlossliabilityandcostincurredbytheDisclosingPartyasaresultofanybreachbyRecipientoftheprovisionsofthisAgreementincludingwithoutlimitationeachlossliabilityandcostincurredasaresultofdefendingorsettlingaclaimallegingsuchaliabilitynbspNothingcontainedinthisAgreementshallbeconstruedasprohibitingtheDisclosingPartyfrompursuinganyotherremediesavailabletoitliolp6根据本协议的条款规定接受方应告知其每个知悉机密信息的职员董事雇员专业顾问代理人和其他人该类机密信息的机密性质且接受方同意为上述的任何人违反本协议规定的行为负责接受方应保护披露方免于遭受每一个由于接受方任何违反本协议包括但不限于由于辩解或解决宣称此类负债索赔的每一损失债务和成本的行为而造成的直接和间接损失债务和成本本协议不包含任何的阻止披露方寻找其他补救方法的内容ppnbsppolstart"7"type"1"liRecipientacknowledgesthatintheeventofitsbreachofthisAgreementtheDisclosingPartywillsufferanirreparableinjurysuchthatnoremedyatlawwillafforditadequateprotectionagainstorappropriatecompensationforsuchinjurynbspAccordinglyRecipientherebyagreesthattheDisclosingPartyshallbeentitledtospecificperformanceoftheobligationsunderthisAgreementandinjunctivereliefandsuchfurtherremediesasmaybegrantedbyacourtofcompetentjurisdictionnbspliolp7接受方应知悉若发生违反本协议的行为披露方将遭受无可挽回的损失无任何的法律补救 polstart"8"type"1"liAtanytimeuponwrittenrequestbyoronbehalfoftheDisclosingPartyRecipientshallreturnallwrittenConfidentialInformationthatwasfurnishedtoRecipientbytheDisclosingPartyorontheDisclosingPartysbehalfandunlessotherwiserequiredbylaworregulationbutonlytotheextentsorequiredRecipientshalldestroyallanalysescompilationsforecastsstudiesorotherdocumentspreparedbyRecipientwhichcontainorreflectanyofsuchinformationandcertifyinwritingastosuchdestructionliolp8任何时候收到披露方或以披露方的名义发布的书面请求后接受方都应归还由披露方或以披露方的名义提供给接受方的所有书面机密信息除法律或法规仅限于此规定的范围内要求除外接受方都应毁损其准备的包含或反映任何该类信息的所有法人分析汇编预测研究或其他文件并将此类毁损做书面记录polstart"9"type"1"liNotwithstandinganyotherprovisionofthisAgreementifRecipientiscompelledtodiscloseanyConfidentialInformationpursuanttoavalidorderofacourtorothergovernmentalbodyorisotherwiserequiredbylaworregulationorlegalorjudicialprocesstodiscloseConfidentialInformationRecipientmaydisclosesuchportionoftheConfidentialInformationasRecipientislegallyrequiredtodiscloseintheopinionofcounselandonlytotheextentrequiredprovidedsolongasitislawfultodosoRecipientshallfirstgivenoticetotheDisclosingPartyinordertoallowtheDisclosingPartytoobtainaprotectiveorderandshalluseitsbesteffortstocooperatewiththeDisclosingPartyinconnectiontherewithliolp9尽管有本协议的其他规定若接受方因法庭或其他政府机构的合法命令或法律法规的要求或p
