计划 项目进度计划表范例计划下载计划下载计划下载课程教学计划下载 的变更以及合同零部件的供货质量、时间进度执行情况及售后服务质量等条件对乙方进行定期或不定期考核，根据考核结果对其供货数量、种类以及配套资格进行相应调整，以至取消配套资格；<br>TocarryoutregularorirregularevaluationsofPartyBinaccordancewiththechangesoftheproductionplan,thequalityofthesuppliedpartsandcomponents,thecomplianceoftimeschedule,thequalityofafter-saleserviceandsoon,andmakeadjustmenttothequantity,categoriesandsupplyingqualificationaswellastocancelPartyB’ssupplyingqualificationaccordingtotheresultsoftheevaluations;<br>如出现因乙方的过错导致的产品责任时，有权要求乙方赔偿因上述产品责任而造成的经济损失；<br>InthecaseofproductliabilityduetoPartyB’sfault,torequirePartyBtocompensateeconomiclossresultedfromsuchproductliability;<br>应当按照协议约定向乙方支付货款；<br>应当按协议约定承担保密义务；<br>协议约定的其它权利与义务。<br>TopayPartyBthepriceofgoodsinaccordancewiththeagreement;<br>Tohavetheobligationofconfidentialityinaccordancewiththeprovisionsoftheagreement;<br>Tohaveanyotherrightsandobligationsasmaybeagreedintheagreement.<br>2．乙方的主要权利、责任与义务包括但不限于：<br>PartyB’srights,obligationsanddutiesincludebutnotlimitedto:<br>有权要求甲方按照相关协议约定支付货款；<br>TorequirePartyAtomakepaymentsasmaybeagreedinrelevantagreements;必须按照相关协议约定的技术、质量标准、数量、包装、时间、地点等供应协议零部件，并保证在生产过程中达到质量要求；<br>Tosupplythepartsandcomponentsasmaybeagreedinaccordancewiththeagreedtechnicalandqualitystandardandquantity,packaging,schedule,placeandotherrequirementsandensuretoreachthequalityrequirementsduringtheproduction;<br>负责在规定的时间内将发至甲方的不合格品进行更换、维修并承担由此产生的费用和直接损失。<br>ToreplaceandrepairtheunqualifiedproductsdeliveredtoPartyAwithinthespecifiedtimeandbeliablefortheexpensesanddirectlossthereof;<br>因产品责任或违约造成甲方的经济损失，有责任根据要求进行赔偿；<br>IntheeventthatPartyAsuffersanyeconomiclossesduetoproductsliabilityorPartyB’sbreachofcontract,tomakecompensationsupontherequest;<br>未经甲方事先书面同意，不得以任何方式向第三方提供协议零部件或与该协议零部件有关的技术资料；<br>WithoutPartyA’spriorwrittenconsent,shallnottoprovidethetechnicalmaterialsconcerningorinrelationtotheagreedpartsandcomponentsinanymanner;<br>应当按照相关协议约定承担保密义务；<br>Shallbeliablefortheobligationofconfidentialityinaccordancewiththeprovisionsoftheagreement;<br>协议约定的其它权利与义务。<br>Tohaveanyotherrightsandobligationsasmaybeagreedintheagreement.<br>第二章工业产权Chapter2IPR<br>1.乙方应不侵犯任何第三方的工业产权前提下，为甲方加工合同零部件，若甲方为此引起任何索赔时，乙方应承担全部责任。<br>PartyBshallmanufacturecontractpartsandcomponentsforPartyAwithoutinfringingupontheIPRofanythirdparty.IntheeventthatPartyAsufferssuchclaims,PartyBshallbetotallyliable.<br>2.乙方应确保甲方及其客户不因上述工业产权而承担任何责任和损失。如果乙方按甲方提供的图纸等制造和供应合同零部件时，不可能知道已侵犯了任何第三方的工业产权的，不属此规定。<br>PartyBshallprotectandindemnifyPartyAanditscustomersagainstanyresponsibilitiesandlossesarisingfromtheaboveIPR.IntheeventthatPartyBmanufacturesandsuppliespartsandcomponentsinaccordancewiththedrawingsandsoonprovidedbyPartyAandshouldnothavebeenawareoftheinfringementofanythirdparty’sIPR,PartyBshallnotbeliable.<br>3.在甲方提出要求时，乙方应告之甲方所有与合同零部件有关的任何工业产权使用情况，不论这些工业产权属乙方所有，还是被许可使用，或是任何特批的工业产权。<br>WhenPartyArequires,PartyBshallinformPartyAofallconditionsoftheIPRrelatedtotheagreedpartsandcomponents,whethersuchIPRbelongstoPartyB,orlicensedtouseorspeciallyauthorized.<br>第三章产品责任Chapter3Productliability<br>1.如果第三方指控由甲方提供且安装在第三方制造的汽车上有缺陷的合同产品导致了该汽车损坏或人身、财产损失，并因此向甲方提出索赔或起诉，经甲方查实为乙方责任造成的，则甲方应传真或电话通知乙方。<br>IntheeventthatanythirdpartyclaimsthatthedefectiveproductsprovidedbyPartyAandasmaybeinstalledontheautomobilesmanufacturedbysuchthirdpartyhavecausedthedamagesofsuchautomobilesandpersonalandpropertylossesandthereforemakesclaimsagainstandsuesPartyA,PartyAshallinformPartyBthereofbyfaxortelephoneafterPartyAhasverifiedthatPartyBisliable.<br>2.乙方应参与调查、技术鉴定和技术仲裁，并在上述调查、技术鉴定和技术仲裁进行过程中提供一切必要的信息。如果发生诉讼，本协议双方应共同参与应诉。<br>PartyBshallparticipateintheinvestigation,technicalevaluationsandarbitrationsandshallprovideallthenecessaryinformationduringtheaboveinvestigation,technicalevaluationsandarbitrations.Intheeventofthelawsuits,bothPartiesshalljointlyparticipate.<br>3.所发生的合同产品责任索赔有关的一切费用应由造成产品责任索赔的一方承担。<br>Alltheexpensesoccurredinrelationtotheclaimsofproductliabilitiesshallbebornebythepartycausingsuchproductliabilities.<br>4.双方应共同确定引起索赔是由哪一方造成的，或者在何种程度上是由于某一方的过错造成的所提出的索赔。做出上述确定时，应以能够获得的信息和投诉以及裁决(如有的话)为基础。<br>BothPartiesshalljointlydeterminewhichpartycausessuchclaimsortowhatextentoneparty’sfaulthascausedsuchclaims.Theabovedeterminationshallbemadeinaccordancewiththeavailableinformationandcomplaintsandarbitrations(ifapplicable).<br>5.如果产品责任完全是由于乙方过错而造成，则乙方应使甲方免于承担与第三方提出的索赔和诉讼有关的一切费用，包括律师费、诉讼费等，由乙方自己承担。<br>IntheeventthattheproductliabilityistotallycausedbyPartyB’sfault,PartyBshallindemnifyPartyAagainstanycostsincludingattorneyfees,legalcostandsooninrelationtotheclaimsandproceedingsmadebyanythirdparty.<br>6.如果产品责任完成是由于甲方过错而造成，则甲方应使乙方免于承担与第三方提出的索赔和诉讼有关的一切费用，包括律师费、诉讼费。<br>IntheeventthattheproductliabilityistotallycausedbyPartyA’sfault,PartyAshallindemnifyPartyBagainstanycostsincludingattorneyfees,legalcostandsooninrelationtotheclaimsandproceedingsmadebyanythirdparty.<br>7.如果产品责任索赔归咎于本条款双方，则支付赔偿费用时应根据每方在所发生的损害中所起作用而分担。双方应就如何最有效地处理上述索赔而互相协商。<br>IntheeventthattheclaimsofproductliabilityareattributedtobothParties,bothPartiesshallmakecompensationsaccordingtotheircontributionstosuchdamages.BothPartiesshallconsultwitheachotherwithrespecttothemosteffectivesettlementoftheaboveclaims.<br>8.责任应包括：Theliabilityincludes<br>a)为汽车或其零部件的损坏所作的赔偿；<br>Thecompensationforthedamagesoftheautomobilesortheirpartsandcomponents;<br>b)第三方所受的人身伤害及财产损失；以及同索赔或诉讼有关的一切其它费用，例如：调查费、技术鉴定和技术仲裁费用、律师费、诉讼费。<br>thepersonalinjuriesandpropertylossessufferedbythethirdparties;andanyothercostsinrelationtotheclaimsorlawsuits,suchas,theinvestigationcost,technicalevaluationandarbitrationcost,attorneyfee,andcostoflawsuit.<br>第四章变更与异常Chapter4Changeanddisorder<br>1.在订货期间，因甲方生产计划的变更对乙方订单的调整，将以书面形式通知乙方，由双方共同确认后执行。<br>Duringperiodoforderingproducts,ifduetoitsproductionplanningPartyAintendstoadjustPartyB’sorder,PartyBshallbegivenawrittennoticethereofandsuchadjustmentshallbeimplementeduponbeingconfirmedbybothParties.<br>2.乙方在为订单生产或筹备期间，如发生特殊原因不能按时供货的，必须在第一时间以书面的形式通知甲方，有双方共同确认后执行。<br>IntheeventthatduetotheoccurrenceofspecialcausesduringPartyB’sproductionandpreparationoftheorders,PartyBfailstosupplyproductsonschedule,PartyBshallpromptlygivePartyAanoticeinwriting.<br>3.上述所谓“通知”，并不意味着免除逾期供货应承担的任何责任，根据实际情况，按奖罚协议执行，但由于不可抗力的情形，应由双方商定适当延长交货期。<br>Theabovementioned“Notice”doesnotexemptPartyBoftheliabilityoflatedelivery.PartyBwillbepunishedinaccordancewiththeAppendix4:Rewardsandpunishmentsagreementaccordingtotheactualsituations.However,inthecaseofforcemajeure,bothPartiesshallnegotiatetoextendthedeliveryperiodappropriately.<br>4.如果乙方的生产场地、生产工艺、材料或配套厂家发生了改变，乙方应主动提前两个月向甲方说明，甲方将对合同零部件重新进行生产样品鉴定。<br>IntheeventthatPartyBchangesitsproductionplace,process,materialorsupportingandsupplyingmanufacturers,PartyBshallactivelymakeexplanationstoPartyAtwomonthsinprior.PartyBwillre-evaluatetheproductionsamplesofthepartsandcomponents.<br>5.因紧急情况发生运输费用增加时，则由造成责任一方承担超额费用。<br>Intheeventthatthetransportationcostincreasesduetoemergencies,thepartycausingsuchincreaseshallbeliablefortheincreasedcost.<br>6.双方在合作过程中，遇其它协议与本合同（包括附件协议）不符时，除非有特别注明，一般以本合同为准。<br>DuringthecooperationbetweenbothParties,ifthereisanyinconsistencebetweenanyagreementandthisagreement(includingtheappendices),thisagreementshallprevail,exceptotherwisespecificallynoted.<br>第五章保密Chapter5Confidentiality<br>1.未经甲方事先书面同意，乙方不得向任何第三方透露从甲方得到的任何技术。<br>WithoutPartyA’spriorwrittenconsent,PartyBshallnotdiscloseanytechnologiesobtainedfromPartyAtoanythirdparty.<br>2.乙方需向其二次配套厂提供甲方的技术时，须事先获得甲方书面许可，并要求其同样承担保密义务。<br>WhilePartyBprovidesitssecondarysupplyingandsupportingmanufacturerswithPartyA’stechnologies,PartyBshallfirstlyobtainPartyA’spriorwrittenapproval,andrequiresuchmanufacturerstobearthesameconfidentialityobligations.<br>3.如因乙方原因造成甲方技术等外泄的，乙方负责赔偿由此带来的一切经济损失。<br>IntheeventthatPartyA’stechnologiesandotherinformationleakoutduetoPartyB’sreasons,PartyBshallbearalltheeconomiclossesthereof.<br>第六章违约责任Article6Defaultliabilities<br>1.乙方供货有缺陷时，就立即调换或经甲方同意应负责尽快修理，并承担逾期供货的责任。<br>IntheeventthatPartyBdeliversdefectiveproducts,itshallpromptlyreplaceorwithPartyA’sconsentrepairsuchdefectiveproductsandberesponsibleforsuchlatedelivery.<br>2.乙方供货少于《供货计划》所规定的数量，而甲方仍要求按数量供应的，乙方应照数量补齐，补齐部分按逾期供货处理。<br>IftheproductssuppliedbyPartyBarelessthanthequantityasmaybespecifiedinSupplyPlanandPartyAstillrequirestosupplythefullamount,PartyBshallmakeupsuchquantitydifference.Suchmake-upproductswillbehandledasthelatedeliveredproducts.<br>3.对于甲方为避免或减少因乙方的过错造成的损失所采取的合理 措施 《全国民用建筑工程设计技术措施》规划•建筑•景观全国民用建筑工程设计技术措施》规划•建筑•景观软件质量保证措施下载工地伤害及预防措施下载关于贯彻落实的具体措施 ，乙方应承担由此而发生的费用。<br>AnycostoccurredtoPartyAfortheappropriatemeasurestakenbyittoavoidorreducethelossescausedduetoPartyB’sfaultshallbebornebyPartyB.<br>4.当因乙方的责任造成甲方的损失，准备向乙方提出索赔时，甲方应把情况通知乙方，并且给乙方调查造成损失原因的机会。<br>IfPartyAwantstomakeaclaimagainstPartyBforitslossescausedbyPartyB,PartyAshallinformPartyBofthefactsandgivePartyBtheopportunitytoinvestigatethereasonsofsuchlosses.<br>5.乙方不得擅自停止供货，如因故停止供货，须提前两个月书面通知并征得甲方同意，否则对甲方造成的损失由乙方承担。<br>PartyBshallnotsuspendthesupplyofproductswithoutauthorization.Ifsuspendedduetoaccidents,PartyBshallgiveawrittennoticetoPartyAintwomonthsinpriorandobtainPartyB’sapproval,orotherwise,PartyBshallbearallthelossessufferedbyPartyA.<br>6.如因乙方违约，甲方有权根据生产状况及违约程度对产品采取让步接收、挑选处理、退回挑选、风险使用、拒收等措施，由此发生的一切费用及损失由乙方全额承担。<br>IfPartyBbreachesthecontract,PartyAshallhavetherighttoaccepttheproductionswithconcession,select,return,usewithrisk,refusesuchproductsinaccordancewiththeproductionconditionsandseverityofdefault.AndallthecostandlossesthereofshallbebornebyPartyB.<br>7.如合同一方有以下违约行为，则另一方有权解除合同，并要求违约方赔偿其经济损失。<br>乙方无故单方面终止合同，中途停止制造和供应合同零部件或未经甲方书面同意将其合同下的权力义务让给第三方；<br>乙方供货一再有缺陷；<br>任何一方违反第七条保密义务的规定；<br>甲方无故单方终止合同，中途拒绝乙方制造或供应合同零部件。<br>Intheeventthatanypartyhavethefollowingviolations,theotherpartyshallhavetherighttoterminatethisagreementandrequirethebreachingpartytocompensateforitseconomicloss:<br>Withoutanyexcuse,PartyBunilaterallyterminatesthecontract,suspendsmanufacturingandsupplyingthepartsandcomponentsduringperformanceorassignsitsrightsandobligationsunderthisagreementtoanythirdpartywithoutPartyA’swrittenconsent;<br>PartyBrepeatedlysuppliesdefectiveproducts;<br>EitherpartyviolatestheprovisionsofArticle7Confidentiality;<br>Withoutanyreason,PartyAunilaterallyterminatesthisagreement,refusesPartyBtomanufactureandsupplytheagreedpartsandcomponentduringtheperformanceofthisagreement.<br>第七章不可抗力Article7FaceMajeure</p>
